Commercially-focussed IP due diligence for potential
venture investors
- Rapidly come up to speed with deal situation
- Carry out IP due diligence and create appropriate report. Report
includes:
- One-page overview of relevant findings
- Patent maps of relevant IP environment and citation analysis
reports – giving indications of commercial value of underlying
technology
- Opinion on patentability of subject-matter and schematic
representations of patent cover available
- Graphic depiction of geographic coverage obtainable
- IP forward costs estimate
- Subsequently support negotiations on IP legal issues and clauses;
providing suggestions of solutions for issues and draft clauses
to address outstanding issues
IP Audit for tech start-ups
- As per the IP due diligence above, but conducted to facilitate
appropriate presentation of the start-up’s IP position
to potential investors.
Detailed deal negotiation support in funding and licensing
transactions
- Act as independent legal counsel for a potential investee
company/licensor during deal negotiation – ensuring
the company is well-informed on the issues being negotiated
and ensuring appropriate documentation is provided to the
potential investor.
- In funding situations, payment for such services can be
partially success-based and paid from invested funds as part
of the overall transaction at execution.
Flexible interim IP management/legal counsel/‘C-level’ for
tech start-ups
- Come up to speed rapidly, making a commercial assessment
of the team’s current commercial (and IP) situation
and suggesting priorities for action.
- In appropriate circumstances, ‘join the team’ at
executive level on a flexible interim basis – particularly,
for example, through the process of closing funding.
